Oclaro nears merger suits settlement
Oclaro, Inc. (NASDAQ: OCLR) says that it has made progress on settling a series of shareholder lawsuits associated with its merger with Opnext (see “Oclaro, Opnext merger completed”). The company says the Superior Court of California in Alameda County has preliminarily approved proposed settlements for four pending class action suits.Under the proposed settlements, the plaintiffs in the suits would settle for additional disclosures only. The plaintiffs also have agreed to limit their application for fees and costs to $235,000. Meanwhile, the two lawsuits filed in the Delaware Court of Chancery challenging the merger would be dismissed.The suits in question include Zilberberg v. Abbe, Case No. RG12623460, Welty v. Bosco, Case No. RG12624240, Greenberg v. Abbe, Case No. RG12624444, and Graf v. Opnext, Inc., Case No. RG12624798. The defendants in each case are Opnext and the members of Opnext's board (“Abbe” is former Opnext board member Charles Abbe, while “Bosco” is former Opnext Chairman and CEO Harry Bosco), Oclaro, and Tahoe Acquisition Sub, Inc. (a subsidiary Oclaro formed to facilitate the merger). The suits allege that the Opnext defendants breached their fiduciary duties to Opnext stockholders by agreeing to the merger, and that the Oclaro defendents aided and abetted these breaches.The Superior Court has set a final approval hearing for January 31, 2013.

MS3 to build packet-optical network with Transmode gear
Packet-optical transport systems vendor Transmode says that MS3 of the UK is in the midst of building a new business access network in Hull using Transmode’s TM-Series platforms, including the Native Packet Optical 2.0 Ethernet Muxponder (EMXP). MS3 will use the new infrastructure to set up shop as a high-speed alternative communications provider for Hull and the surrounding region.The TM-Series packet-optical transport systems will ensure the network can support large signal capacities, including the provision of 10 Gigabit Ethernet and Internet services to businesses throughout the city. The first phase of the new network is operational, making MS3 the area’s first alternative service provider. MS3 has spent more than £3 million on the fiber-optic network project so far.Tony Hales, MS3 managing director, commented, "This new optical network will allow us to provide a range of communications solutions to local businesses and service providers. As an independent provider, we believe it is essential for businesses to have access to high-speed Ethernet services. The new network will help businesses in the city of Hull stay competitive. Our investment in Transmode's solution has given us the ideal flexible platform for our immediate needs and will scale as demand grows."Our primary concern while building this network is that our customers will have access to a high-capacity network now and in the future," added Hales. "We chose Transmode's optical platform because it met our requirements and we liked the can-do attitude of the Transmode team."

FTTH Council Americas names new board members
The Fiber to the Home (FTTH) Council Americas, a non-profit organization of nearly 300 companies and organizations focused on advancing FTTH, has elected three industry executives to its board of directors for 2013.In recent voting, the FTTH Council elected Walt Donovan, vice president of telecom business development for Quanta Services, and Scott Jackson, business development manager-smart grid for Graybar Electric Co., to three-year terms on the nine-member board.  Re-elected to a three-year term on the board was Kevin Morgan, director of marketing for ADTRAN.Serving as chairman of the board in 2013 will be Kevin Bourg, senior director of global market development for Aurora Networks, who has more than 17 years of industry experience in system engineering, software development, and sales in the telecommunication industry. He has been active in the FTTH Council over the years serving on the technology and planning committees as well as chairperson for the 2012 FTTH Conference & Expo in Dallas, TX.Board member Dave Kiel, director of global marketing for Corning Cable Systems, was chosen by the board to serve as chair-elect for the 2014 board and chair of the 2013 FTTH Conference & Expo.Stepping down from the board after not running for re-election are Doug Dowling, director for telecom network products at TE Connectivity, and current chairman Kyle Hollifield, vice president of marketing and business development at BVU Authority in Bristol, VA.The recent board elections were the first to be held under the FTTH Council's transition to a new board structure in which the terms of service were increased to three years, and the number of board seats coming up for election each year reduced to three. Previously, the nine board members served two-year terms with five or four seats coming up for election in alternating years. The council has also limited board service to two consecutive terms before requiring retiring board members to wait at least one year before again seeking election.
