Enablence to acquire Teledata Networks
APRIL 15, 2010 -- Enablence Technologies Inc. (TSX-V: ENA) has signed a definitive merger agreement to acquire privately held Teledata Networks Ltd. of Israel. Teledata makes equipment for communications over copper-based infrastructure.The $50 million acquisition price will comprise US$10 million in cash, US$10 million in secured interest-bearing promissory notes payable on the second anniversary of the closing of the transaction, and US$30 million in common shares to be issued by Enablence at the closing based on a pricing formula contained in the agreement.Completion of the deal is subject to “certain conditions,” including the approval of the TSX Venture Exchange and Teledata shareholders, as well as satisfying other customary conditions. The transaction is expected to close following the completion of the applicable statutory waiting periods in Israel.Teledata’s customer base spans millions of lines in over 55 countries worldwide, including Brazil, Chile, Costa Rica, Kazakhstan, and South Africa, many of which are Tier 1 service providers, Enablence asserts.“With this merger, Enablence will become a strategic player in the global broadband market, with the critical mass to meet the needs of service providers in established and emerging markets and the ability to service Tier 1 operators internationally,” said Arvind Chhatbar, chairman of Enablence.“Teledata focuses on emerging markets with its BroadAccess platform. The BroadAccess family provides wireline service providers with an optimal solution for delivery of advanced triple-play and business services over copper, and enables a smooth migration to next-generation networks and FTTx network architectures,” said Tim Thorsteinson, the incoming CEO of Enablence. “With Teledata’s capabilities, Enablence will be able to serve its current customers that wish to extend the useful life of their existing copper networks. Teledata’s customers will benefit from having Enablence’s GPON and Active Ethernet solutions to migrate their existing copper networks to fiber.”The current majority shareholders in Teledata include the Kardan group (Euronext: KARD), Elron Electronic Industries (TASE: ELRN), and Infinity Venture Capital Fund.

Halstad Telephone selects Calix for three fiber access initiatives
APRIL 14, 2010 -- Calix (NYSE:CALX) has announced that Halstad Telephone Co. (HTC), a three-time winner of awards provided in Round One of the Broadband Initiatives Program of the American Recovery and Reinvestment Act of 2009, has selected the Calix Unified Access portfolio to bring 100-Mbps to thousands of homes and businesses in communities it serves across Minnesota and North Dakota.Leveraging an aggregate of $11.7 million in broadband stimulus funds to implement and deploy its network, HTC will deliver advanced IPTV services, residential and business data services, fiber-fed mobile backhaul services, and voice over IP (VoIP) services to previously “underserved” and “unserved” communities. HTC’s three awarded proposals together cover seven communities and surrounding rural areas in the Red River Valley lying between Minnesota and North Dakota (for example, see "USDA announces 22 RUS BIP broadband stimulus grants" and "Fiber dominates latest US rural broadband stimulus funds release"). Each community will be served via a combination of fiber access technologies (Active Ethernet or GPON) according to its mix of residential and business services and its rural nature. Within Hillsboro, ND, VDSL2 will be used as a deep-fiber technology within the town and Active Ethernet in the surrounding rural areas.From an application perspective, HTC plans to deliver to these communities a variety of advanced services like IPTV with Cisco middleware, SIP voice calls, a variety of residential and business data services, and even fiber-fed mobile backhaul leveraging T1s, pseudowire (PWE3), and Ethernet. Calix platforms and equipment planned for deployment include: E7 Ethernet Service Access Platform (ESAP) delivering both Active Ethernet and GPON services and leveraging a 10-Gbps Ethernet Ring Protection Switching (ERPS) ring.711GX optical network terminals (ONTs) terminating both Active Ethernet and GPON for residential applications and a mix of the 760GX family of ONTs to deliver services to businesses, multiple dwelling units (MDUs), and cellular towers for mobile backhaul.E5-120 Ethernet Service Platforms providing VDSL2 and SIP voice services.All platforms, products, and services will be managed and monitored via the Calix Management System (CMS) independent of protocol or media type.

Teledata Networks unveils BroadAccess-300E FTTX system
